Affiliated to the European Managers Confederation (CEC) Paris 5 March 2001 Press release FECCIA nominates the candidature of a European manager Under the terms of an agreement signed jointly by FECCIA, EMCEF (1), German and French union organisations, the Board of Aventis and the works council of the holding company, the representation of employees on the supervisory board of Aventis will be carried out by six employees, four with voting rights and two with consultative rights.FECCIA represents European managers in Chemicals & Pharmaceuticals, and a position is assigned to it amongst the four French and German employee representatives to the supervisory board of Aventis with voting rights. This position will initially be filled by a German manager representative from VAA (2). This candidature is supported by C.F.E-CGC (3). FCC (4) is the signatory to the agreement on behalf of C.F.E-CGC.This agreement is an amendment to the agreement of 20 March 2000 signed by French and German union representatives. The initial agreement did not specify the exact distribution of the positions. The three other positions will be filled by IG-BCE (German union), CFDT and CGT (French unions) Two elements are original and innovative in this agreement : - first, employee members of the supervisory board are nominated by union organisations, then elected by the General Assembly of Shareholders as are the other members (under the agreement of 20 March 2000) - second, for the first time a European Managers Federation (FECCIA), affiliated to the European Managers Confederation (CEC) will be able to present a candidate to a supervisory board of a listed company, with voting rights (amendment of 26 February 2001). By this agreement, FECCIA shows that it can insure a European representation of managers interests of an industrial group such as Aventis, which was constituted by merging two companies in European countries, France and Germany.
